1. Our Services

Memory Clearance is an independent reseller of IT hardware, including new, refurbished, and factory-sealed computer memory, storage devices, server components, and related technology products. Through our Services, customers can browse, compare, and purchase available inventory directly from our online store.

The information provided through the Services is intended for general commercial purposes only. It is not designed to satisfy industry-specific regulatory requirements, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA) or the Federal Information Security Management Act (FISMA). You agree not to use the Services in any manner that would violate the Gramm-Leach-Bliley Act (GLBA) or any other applicable laws or regulations.

Users accessing the Services from outside the United States do so at their own discretion and are solely responsible for ensuring compliance with the laws and regulations applicable in their jurisdiction.

Memory Clearance owns or holds the necessary licenses for all intellectual property associated with the Services, including source code, databases, software, website design, text, images, graphics, logos, trademarks, service marks, and other content (collectively, the "Content" and "Marks"). These materials are protected under United States and international intellectual property laws.

Unless otherwise stated, the Content and Marks are provided solely for your personal, non-commercial use or legitimate internal business purposes.

2.2 License to Use the Services

Subject to your compliance with these Terms, Memory Clearance grants you a limited, non-exclusive, non-transferable, and revocable license to access the Services and to download or print portions of the Content solely for your personal or internal business use.

No other use of the Content or Marks is permitted without our prior written authorization. Unauthorized copying, reproduction, modification, distribution, republication, or commercial use of any Content or Marks constitutes a material violation of these Terms and may result in immediate termination of your access to the Services.

2.3 Your Submissions

Any questions, suggestions, comments, feedback, or other communications you voluntarily submit to Memory Clearance ("Submissions") become our property upon submission. You assign all applicable intellectual property rights in such Submissions to us, and we may use, reproduce, modify, or publish them for any lawful purpose without compensation or acknowledgment.

By submitting content, you represent and warrant that it is original, does not infringe the rights of any third party, and does not contain confidential or proprietary information belonging to another party.

You remain solely responsible for your Submissions and agree to indemnify Memory Clearance against any claims, losses, or damages resulting from your breach of this section or any applicable law.

3. User Representations

By accessing or using the Services, you represent and warrant that:

All information you provide is true, accurate, current, and complete.
You will promptly update your information whenever necessary.
You have the legal capacity to enter into and comply with these Terms.
You are at least eighteen (18) years of age.
You will not access the Services using automated methods, including bots, scripts, crawlers, or similar technologies.
You will not use the Services for any unlawful, fraudulent, or unauthorized purpose.
Your use of the Services will comply with all applicable laws and regulations.

If any information you provide is determined to be false, misleading, inaccurate, or incomplete, Memory Clearance reserves the right to suspend or terminate your account and deny current or future access to the Services.

4. User Registration and Account Security

Certain features of the Services may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

If you believe your account has been accessed without authorization, you must notify us immediately at [email protected].

Memory Clearance is not responsible for any loss or damage resulting from unauthorized use of your account credentials. We reserve the right, at our sole discretion, to remove, reclaim, or modify any username that we determine to be inappropriate, misleading, offensive, or otherwise objectionable.

5. Identity Verification

To help protect against unauthorized or fraudulent transactions, Memory Clearance may request identity verification before processing certain orders. Verification may be required for high-value purchases, orders with mismatched billing and shipping information, or transactions identified by our fraud prevention systems.

If verification is required, we will contact you by email within one (1) business day. If the requested documentation is not received within three (3) business days, your order may be canceled and any authorized payment will be refunded in full without a cancellation fee.

Documents submitted for verification are used solely to confirm your identity, are not retained longer than necessary for the verification process, and are never sold or shared for marketing purposes.

By placing an order through https://memoryclearance.com, you acknowledge and agree that identity verification may be required before your order can be approved and fulfilled.

6. Products and Availability

Memory Clearance makes every reasonable effort to ensure that product descriptions, specifications, images, pricing, availability, and product condition are accurate and up to date. Actual product colors or appearance may vary depending on your display device.

If you require additional compatibility or configuration information before purchasing, we encourage you to contact our team prior to placing your order.

All products are offered subject to availability. We reserve the right to discontinue any product, restrict available quantities, or limit purchases per customer, household, or order. Product pricing displayed on the Site reflects current pricing at the time of purchase. We also reserve the right to refuse or cancel orders that, in our reasonable judgment, appear to be placed by unauthorized dealers, resellers, or distributors.

7. Purchases and Payment

By submitting an order, you confirm that all billing and shipping information provided is complete, accurate, and current. You authorize Memory Clearance to charge your selected payment method for the total order amount, including applicable taxes and shipping charges. All prices and transactions are processed in U.S. Dollars (USD).

If a pricing, product condition, or product description error is identified before an order is processed, Memory Clearance reserves the right to cancel the order and issue a full refund within ten (10) business days. Customers will be notified promptly if such a situation occurs.

We reserve the right to refuse, limit, or cancel any order at our sole discretion, including orders that appear to be placed for unauthorized resale or other activities inconsistent with these Terms.

8. Warranty Coverage

All warranties provided by Memory Clearance are limited to hardware defects and do not cover damage resulting from misuse, improper installation, unauthorized modification, accidents, or normal wear and tear.

Refurbished Products: Covered by a 90-day limited warranty.
New Products: Covered by a 1-year limited warranty.

If your return eligibility has expired, your product may still qualify for the original manufacturer's warranty, where applicable. Manufacturer warranty terms and coverage vary depending on the product and manufacturer.

9. Return Policy

Returns, replacements, and refunds are governed by the Memory Clearance Return Policy, which is incorporated into these Terms by reference.

We encourage you to review the Return Policy carefully before placing an order. By completing a purchase through our Site, you acknowledge that you have read, understood, and agree to the terms of the Return Policy.

10. Prohibited Activities

11. User-Generated Content and Reviews

Where the Services allow customers to submit ratings, reviews, or other content, you agree that all submissions must reflect your genuine and firsthand experience.

You agree not to submit reviews or content that:

Contains abusive, offensive, discriminatory, racist, or hateful language.
Encourages or promotes illegal activities.
Includes false, misleading, or deceptive information.
Is submitted using a false identity or impersonates another individual or organization.
Forms part of a coordinated effort to manipulate ratings or reviews.
Is submitted by a competitor, affiliate, or anyone acting on behalf of a competing business.

Memory Clearance reserves the right to review, reject, edit, or remove any user-generated content at its sole discretion.

Reviews and opinions published on the Services represent the views of individual users and do not necessarily reflect the views or opinions of Memory Clearance.

By submitting a review or other content, you grant Memory Clearance a perpetual, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, publish, modify, distribute, and display such content in connection with the operation and promotion of the Services.

12. Third-Party Websites and Content

The Services may contain links to third-party websites, manufacturers, or other external resources ("Third-Party Sites") for your convenience.

Memory Clearance does not own, control, monitor, or endorse the content, products, services, privacy practices, or policies of any Third-Party Site and assumes no responsibility for them.

Once you leave the Memory Clearance website, these Terms no longer apply. Your use of any Third-Party Site is entirely at your own risk, and you should review the applicable terms, conditions, and privacy policies before engaging with those websites or completing any transaction.

The Services are hosted within the United States. If you access the Services from outside the United States, you acknowledge that your information may be transferred to, stored, and processed within the United States in accordance with applicable laws.

You remain solely responsible for any information you submit through the Services. While Memory Clearance performs reasonable system backups and security measures, we are not responsible for the loss or corruption of user-submitted data.

14. Service Management and Termination

Memory Clearance reserves the right, at its sole discretion, to:

Monitor the Services for compliance with these Terms.
Investigate and take appropriate legal action against violations of these Terms, including reporting unlawful activity to the appropriate authorities.
Restrict, suspend, or permanently terminate access to the Services at any time, with or without prior notice.
Remove or disable any content that violates these Terms or is otherwise considered inappropriate.
Modify, suspend, discontinue, or replace any part of the Services without prior notice.

If your account is terminated, you may not create another account without our prior written authorization.

Termination does not limit any other legal rights or remedies available to Memory Clearance.

Memory Clearance shall not be liable for any loss or damages resulting from the suspension, modification, or discontinuation of the Services.

15. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEMORY CLEARANCE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY PROVIDED IN OUR WARRANTY COVERAGE AND RETURN POLICY.

WE DO NOT WARRANT THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION, THAT THEY WILL BE ERROR-FREE OR SECURE, OR THAT THEY WILL ALWAYS BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO GUARANTEE REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION MADE AVAILABLE THROUGH THE SERVICES. YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK.

MEMORY CLEARANCE DOES NOT ENDORSE OR ASSUME RESPONSIBILITY FOR ANY PRODUCTS, SERVICES, OR CONTENT PROVIDED BY THIRD PARTIES. CUSTOMER REVIEWS AND TESTIMONIALS REPRESENT THE EXPERIENCES OF INDIVIDUAL USERS AND SHOULD NOT BE INTERPRETED AS A GUARANTEE OF FUTURE RESULTS.

Some jurisdictions do not permit the exclusion of certain implied warranties. Where applicable, these exclusions shall apply only to the fullest extent permitted by law.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEMORY CLEARANCE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CIRCUMSTANCES, MEMORY CLEARANCE'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MEMORY CLEARANCE FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT THAT GAVE RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, the above limitations shall apply only to the extent permitted by applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Memory Clearance, its affiliates, officers, directors, employees, agents, partners, licensors, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

Your use of the Services.
Your violation of these Terms.
Your breach of any representation, warranty, or obligation contained in these Terms.
Your infringement of any intellectual property or other legal rights of a third party.
Any harmful, negligent, or unlawful act committed by you through or in connection with the Services.

Memory Clearance reserves the right, at its own expense, to assume exclusive control of any matter otherwise subject to indemnification. You agree to cooperate fully with our defense of any such claim.

18. Governing Law and Dispute Resolution

These Terms and your use of the Services are governed by and interpreted in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) and the Uniform Computer Information Transactions Act (UCITA), where applicable, are expressly excluded.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the exclusive jurisdiction and venue of those courts.

Any claim or cause of action arising from or relating to the Services must be commenced within one (1) year after the claim arises. Claims brought after that period shall be permanently barred.

20. Modifications to These Terms

Memory Clearance reserves the right to update or modify these Terms at any time and for any reason. If material changes are made, we will revise the "Last Updated" date at the beginning of this document and, where appropriate, notify registered users by email.

Your continued access to or use of the Services after updated Terms have been posted constitutes your acceptance of those changes.

We encourage you to review these Terms periodically. Any amendment other than those published by Memory Clearance in accordance with this section must be made in writing and signed by an authorized representative of Memory Clearance.

21. Miscellaneous

These Terms, together with our Privacy Policy, Return Policy, and any additional policies expressly incorporated by reference, constitute the complete agreement between you and Memory Clearance regarding your use of the Services and supersede all prior communications, agreements, representations, and understandings relating to the subject matter herein.

Our failure to enforce any provision of these Terms shall not be considered a waiver of that provision or of any other provision.

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

Nothing contained in these Terms creates any joint venture, partnership, employment, agency, or fiduciary relationship between you and Memory Clearance.

Memory Clearance may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Memory Clearance shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, labor disputes, governmental actions, utility failures, or interruptions to communication networks.
